Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and IMAGIMATIC LLC ("we," "us," "our," or "Company") governing your use of the Voice Planner mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • If you are under 18, you have parental or guardian consent

Device and System Requirements

Required Hardware and Software

The App requires:

  • iPhone 15 Pro or newer (A17 Pro chip or later)
  • iOS 26 or later
  • Apple Intelligence enabled
  • Speech Recognition enabled

Important Notice

The App will not function properly without these requirements. Core features require:

  1. Microphone access permission
  2. Speech Recognition (Siri/Dictation enabled in Settings)
  3. Apple Foundation Models (Apple Intelligence enabled in Settings)

If your device does not meet these requirements, you may not be able to use the App. Verify device compatibility before subscribing. You may cancel your free trial within 7 days if the App does not work on your device.

Account Registration

The App uses Sign in with Apple for authentication. By signing in, you:

  • Authorize us to receive your Apple ID information (identifier, and optionally name and email)
  • Agree to Apple's terms for Sign in with Apple
  • Are responsible for maintaining the security of your Apple ID
  • Are responsible for all activity under your account

Subscription Terms

Subscription Required

Voice Planner requires a paid subscription after the free trial period. Subscription pricing is displayed in the App Store at the time of purchase.

Free Trial

  • New users receive a 7-day free trial with full access
  • You will not be charged if you cancel before the trial ends
  • The trial begins when you subscribe through the App Store

Billing and Renewal

  • Subscriptions are billed through your Apple ID account
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • Apple's billing terms and grace period policies apply

Cancellation and Refunds

  • You may cancel your subscription at any time through your Apple ID settings or the App Store
  • Cancellation takes effect at the end of the current billing period
  • No refunds or prorated refunds are provided for partial billing periods
  • You retain access until the end of your paid period
  • Refund requests must be submitted directly to Apple

After Subscription Ends

If your subscription expires or is canceled:

  • Access to the App's features will be restricted
  • Your data remains on your device and in iCloud (if enabled)
  • You may resubscribe at any time to regain access

Acceptable Use

Permitted Use

You may use the App to:

  • Record and transcribe your own voice notes
  • Create and organize Spaces for personal productivity
  • Export your content for personal use

Prohibited Use

You agree NOT to:

  • Use the App for any unlawful purpose
  • Record conversations without required consent
  • Reverse engineer, decompile, or disassemble the App
  • Circumvent security features
  • Use automated systems to extract data
  • Resell or commercially exploit the App
  • Interfere with or disrupt the App

Content Responsibility

You are solely responsible for all content you create, record, or store using the App. We do not monitor or filter user-generated content.

Intellectual Property

Our Intellectual Property

The App is owned by IMAGIMATIC LLC and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

Your Content

You retain ownership of all content you create (voice recordings, transcripts, notes, etc.). We do not claim ownership of your content.

AI-Powered Features

AI Limitations

The App uses artificial intelligence for transcription and content extraction. AI-generated content may contain errors. You acknowledge that:

  • Transcriptions may not be 100% accurate
  • Extracted content may not perfectly reflect your intent
  • AI features are provided "as is" without accuracy guarantees
  • You are responsible for reviewing AI-generated content

Future Cloud Processing

If we introduce features that process your content through cloud AI services, we will update our Privacy Policy before launch.

Third-Party Services

The App uses third-party services including Apple services (App Store, Sign in with Apple, CloudKit, Apple Foundation Models), subscription management, and analytics. Your use of these services is subject to their respective terms.

Data and Privacy

Your privacy is important to us. See our Privacy Policy for details.

Key points:

  • Your voice recordings, transcripts, and content stay on your device
  • We only store account identifiers and subscription information
  • Your content syncs through Apple iCloud, not our servers

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF CONTENT.

We do not guarantee:

  • Continuous availability
  • Error-free operation
  • Compatibility with devices not meeting stated requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICE PLANNER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, OR DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless IMAGIMATIC LLC from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or your content.

Modifications

We may modify the App, its features, or these Terms at any time. For material changes to these Terms, we will provide notice through the App or via email. Continued use after changes constitutes acceptance.

Termination

You may stop using the App at any time by canceling your subscription and uninstalling the App.

We may suspend or terminate your access if you violate these Terms or engage in fraudulent activity.

Upon termination, your license ends immediately. Provisions that should survive (indemnification, limitation of liability, dispute resolution) will survive.

Dispute Resolution

Informal Resolution

Before formal proceedings, you agree to contact us at support@voiceplanner.ai and attempt to resolve disputes informally for at least 30 days.

Binding Arbitration

You and IMAGIMATIC LLC agree that any dispute arising from these Terms or the App shall be resolved by binding individual arbitration rather than in court, except that either party may seek injunctive relief for intellectual property matters or bring claims in small claims court.

Arbitration shall be conducted in accordance with the rules of a nationally recognized arbitration organization. The arbitrator's decision is final and binding.

CLASS ACTION WAIVER: All disputes must be brought individually. You waive any right to participate in class actions or class-wide arbitration.

Opt-Out

You may opt out of arbitration by sending written notice to support@voiceplanner.ai within 30 days of first accepting these Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement.
  • Severability: If any provision is unenforceable, the remainder continues in effect.
  • Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms. We may assign without restriction.
  • Notices: Contact us at support@voiceplanner.ai.

Apple-Specific Terms

You acknowledge that:

  • These Terms are between you and IMAGIMATIC LLC, not Apple
  • Apple has no obligation to provide support for the App
  • Apple is not responsible for claims relating to the App
  • Apple and its subsidiaries are third-party beneficiaries of these Terms
